Refund Policy

When a purchase from Modelware can be refunded.

This Refund Policy explains when a purchase from Modelware LLC, a California limited liability company ("Modelware", "we", "us", or "our") can be refunded. It supplements the Terms of Service and the schedule that applies to you, and forms part of them. Different products are refunded on different terms, because they are delivered in different ways, so the product-specific section that covers what you bought controls.

Where this policy conflicts with the General Terms or a schedule on the subject of refunds, this policy controls. Where an executed Order sets out different refund terms, the Order controls.

1Scope

This policy applies to purchases made from Modelware by either route: online through our checkout, where a merchant of record is the seller for the transaction, and under a written agreement, quotation, or invoice with Modelware. Where a merchant of record is the seller for an online transaction, this policy still governs whether a refund is due, and the merchant processes it. Where an executed Order or written agreement sets out refund terms, those terms control. This policy does not apply to purchases made through a reseller, distributor, marketplace, or other third party selling on its own account, where that party's own refund terms govern and any refund must be requested from them.

Merchant of record. Modelware currently uses Paddle as its merchant of record for online purchases. References in this policy to the merchant of record mean Paddle unless we state otherwise. Not every product is available through online checkout, and which purchase routes are offered for a given product is shown when you buy; where a product is not sold online, only the terms in this policy for purchases under an Order apply to it.

Which terms apply. For an online purchase sold by the merchant of record, this policy determines whether a refund is due, and the merchant of record's buyer terms and refund policy govern the transaction itself, including how the refund is processed, receipts, and applicable taxes. If applicable law or the merchant of record's applicable terms give you greater or non-waivable rights, those rights apply.

Sections 1 to 4 and 7 to 8 apply to every purchase. Sections 5 and 6 apply only to the product they name.

2Your Statutory Rights

Nothing in this policy limits or excludes any right or remedy you have under applicable law that cannot be limited or excluded, including consumer-protection rights and, for Consumers in the European Union and the United Kingdom, the right of withdrawal described in the Consumer Schedule. Where this policy gives you more than the law requires, the additional rights are given voluntarily and do not reduce your statutory rights.

This policy does not affect any limited warranty stated in the Business Schedule or in the End User License Agreement, or the remedies stated there.

3How to Ask for a Refund

Contact support@modelware.io from, or quoting, the email address you purchased under, and tell us what you bought and what you are asking to refund. A request takes effect on the date we receive it, which is the date used for any time limit or proportional calculation in this policy.

We aim to acknowledge a request within five (5) business days.

4How Refunds Are Paid

Approved refunds are returned to the original payment method: by the merchant of record where one was the seller for an online purchase, and by Modelware where the purchase was invoiced directly. If that method is no longer valid, we will agree another means with you, subject to what the merchant of record is able to process. Refunds are made in the currency of the original purchase, and we do not compensate for exchange-rate movements or for fees charged by your bank or card issuer.

Taxes collected on a refunded amount are refunded with it where the applicable tax rules permit. Where a merchant of record collected the tax, it is refunded by that merchant.

5Refunds: OML Code

Consumer subscriptions. If you bought an OML Code subscription as an individual for personal, non-commercial use, you may request a refund of the fee within fourteen (14) days of your initial purchase, as set out in the Consumer Schedule. That right applies to your initial purchase and not to subsequent renewal charges. Cancelling stops future renewals and you keep access until the end of the period already paid for.

Business subscriptions. Fees stated in an Order are non-cancelable and non-refundable, and quantities purchased cannot be decreased during the term, as set out in the Business Schedule. Nothing in this paragraph affects a refund of prepaid, unused fees where one is expressly provided for, including as the stated remedy under the limited warranty or on termination for Modelware's uncured material breach.

Installed software. A license to installed software is governed by the End User License Agreement and the applicable Order. Where a right to return installed software is offered, it ends once the software has been activated, because activation is the point at which the license has been delivered. Where applicable law requires your prior express consent to begin delivery and your acknowledgment that you lose a statutory withdrawal right, activation ends that right only if that consent and acknowledgment were given before activation; your statutory rights are otherwise unaffected, as described in the Consumer Schedule.

Free trials and free plans. No refund is due for a free trial or a free plan, because no fee has been paid. If a trial converts to a paid subscription, the paid subscription is refundable on the terms above, measured from the date of the first charge.

Partial periods and usage. Except where this policy or applicable law provides otherwise, we do not refund partly used billing periods, and we do not refund on the basis of low usage.

Payments and billing

This sub-section applies to OML Code purchases you make online through our checkout, where that route is offered. It does not apply to purchases made under a written agreement, quotation, or invoice with Modelware, which are invoiced and paid directly and are covered by the Business Schedule.

For online purchases, Modelware uses Paddle as our merchant of record. Paddle is Modelware's authorized reseller and merchant of record and is the seller for the transaction, so your contract of sale for that transaction is with Paddle, not with Modelware directly. Paddle handles payment processing, transaction billing, applicable transaction taxes, receipts and invoices, fraud and chargeback functions, and transaction-level refunds in accordance with its terms. This applies whether you buy as an individual or on behalf of a business.

What this means for you:

(a)Your statement will show a charge from Paddle, or from "Paddle.net", rather than from Modelware. This is not an error.

(b)Your receipt and invoice come from Paddle, and you can retrieve them at any time from paddle.net using the email address you purchased with.

(c)Sales tax and VAT are calculated and collected by Paddle according to your location, and shown before you confirm your purchase.

(d)Refunds are governed by this Refund Policy. Paddle processes approved refunds to your original payment method.

6Refunds: Modelware Academy

Modelware Academy sells two components. A course may be bought as the Digital Course alone, or as the Digital Course together with Live Cohort Support. Each is refunded on its own terms, because each is a different kind of thing: one is delivered the moment you open it, the other is delivered over a schedule.

The 14-day outer limit

Fourteen (14) days is the outer limit, not the measure. Depending on where you live, applicable law may give you a statutory withdrawal or cancellation right, which is ordinarily fourteen (14) days from purchase. The refund terms below are what Modelware offers for each component; where a mandatory consumer right gives you more, that right applies. Except where such a right applies, no refund is due more than 14 days after purchase for either component, whatever remains undelivered.

Read the terms for what you bought, because either component may end your refund right well before day 14. In particular, the refund right for a Digital Course ends when you first access the course materials, which is often the same day you buy it.

Digital Course

The Digital Course is refundable until you first access the course materials. Accessing it is the point at which what you bought has been handed over, and there is no partial version of having read something.

Your refund right therefore ends when you first access the course materials, or 14 days after purchase, whichever comes first. When you enroll, Modelware Academy asks you to consent to immediate access and to acknowledge that you lose any statutory withdrawal right once access begins; that consent and acknowledgment are what allow access to end the right where applicable law requires them.

Live Cohort Support

Live Cohort Support is a scheduled service, delivered over a set number of sessions. When you enroll, Modelware Academy asks you to consent to the sessions beginning within any statutory withdrawal period and to acknowledge that a refund is reduced in proportion to the sessions delivered.

(a)Before the cohort begins: cancel within 14 days of purchase for a full refund of this component.

(b)After the cohort begins: cancel within 14 days of purchase and your refund is reduced proportionally, based on the scheduled sessions delivered up to the moment you ask. The proportion is measured against the number of sessions the class was sold with, and against the instructor's record of what was actually delivered.

(c)After 14 days: no refund is due, however many sessions remain.

The two components are refunded separately. Opening the Digital Course does not affect what you are owed for Live Cohort Support.

If a class does not run

A cohort proceeds only if it reaches its stated minimum enrollment by its stated confirmation date.

If Modelware cancels a class, for that or any other reason, and whenever the cancellation happens, you receive a full refund of the amount paid for Live Cohort Support, and that is your sole remedy. This applies regardless of the 14-day window. Because the two components are refunded separately, a cancelled cohort does not affect the Digital Course, which is refunded on its own terms above; if you bought Live Cohort Support on its own, the full amount paid is refunded. Modelware may instead offer you a place in a substantially equivalent cohort, and you may accept that offer or take the refund.

Sponsored seats

If your organization has paid for your place, you are not buying anything from Modelware and no refund is due to you. You may hold a sponsored seat on a Digital Course alone, or on an offering your organization has created that combines the Digital Course with live sessions led by an instructor your organization assigns. Sponsored seats are not available on public offerings created by Modelware. A sponsored seat is allocated and considered consumed in accordance with the applicable Order or organizational purchase terms. Unless those terms state otherwise, a seat becomes consumed when the sponsored user first accesses the course materials; until then, leaving the course returns the seat to your organization to reassign.

Live sessions in an organization-created offering are arranged by your organization, not by Modelware, so the Live Cohort Support terms above do not apply to a sponsored seat.

How to ask

Contact support@modelware.io with the email address you purchased under. We decide, under this policy, whether a refund is due; the refund itself is returned to your original payment method by whoever sold you the course, which for an online purchase is our merchant of record. The merchant of record may also grant a refund under its own terms, independently of this policy.

This sub-section applies to purchases you make online through the Modelware Academy checkout. It does not apply to purchases made under a written agreement or invoice with Modelware, which are covered by Organizational purchases below.

Paddle's own terms and privacy notice govern their handling of your payment data, and are available at paddle.com/legal.

Organizational purchases

Where an organization buys course places under a written agreement, quotation, or invoice with Modelware, rather than through the online checkout, Modelware is the seller and Paddle is not involved. Those purchases are invoiced and paid directly, and the refund and cancellation terms of that agreement control. Where the agreement is silent on refunds, the Business Schedule applies and fees are non-cancelable and non-refundable. Organizational purchases cover the Digital Course, so the Live Cohort Support terms above, including those for a cohort Modelware cancels, do not apply.

Individuals attending on a place bought this way hold a sponsored seat, and are covered by Sponsored seats above rather than by this sub-section.

7Changes to This Policy

Modelware may update this policy from time to time. Material changes will be communicated by reasonable means, and the updated policy takes effect on the date stated in the notice. The policy in force when you made your purchase governs that purchase, and we will tell you on request which terms applied to it.
